Terms of Service

1. Who we are — parties to this agreement
These Terms of Service ("Terms") constitute a legally binding agreement between:
- —SocialHook / Lead Lock Systems LLC ("SocialHook", "we", "us", "our") — a limited liability company incorporated in Wyoming, United States, operating at socialhook.io.
- —You ("Customer", "you", "your") — the individual or legal entity registering for or using SocialHook. If you are entering these Terms on behalf of a company, you represent that you have the authority to bind that entity.
2. The SocialHook service
SocialHook is a Meta messaging webhook platform that allows you to connect your Facebook Pages, Instagram Business accounts, and WhatsApp Business numbers, and receive inbound messages as signed JSON payloads delivered to a webhook URL you specify.
SocialHook acts as technical middleware between Meta's messaging APIs and your server. We are a data processor acting on your instructions — you are the data controller.
What the Service does not include
- —Outbound message sending (planned for a future version)
- —Chatbot or flow builder functionality
- —CRM, shared inbox, or team messaging features
- —SMS, voice, or non-Meta messaging platforms
3. Account registration and eligibility
To use SocialHook you must be at least 18 years of age, be legally capable of entering a binding contract in your jurisdiction, and use the Service only for lawful business purposes. You are responsible for maintaining the confidentiality of your account credentials and all activity under your account.
4. Subscription, billing, and payment
4.1 Pricing
SocialHook is offered at a flat subscription fee of $50 USD per month. There are no per-message fees, per-conversation fees, or usage-based charges beyond the flat monthly Subscription Fee.
4.2 Billing cycle
Subscriptions are billed monthly in advance and automatically renew each month unless cancelled before the renewal date.
4.3 Refund policy
All subscription fees are non-refundable except as required by applicable law. If you cancel, your access continues until the end of the current billing period. If SocialHook terminates your account without cause, you are entitled to a pro-rata refund for the unused period.
4.4 Price changes
We may change the Subscription Fee with at least 30 days' written notice to your registered email address.
5. Acceptable use
You may use SocialHook only for lawful purposes. You agree not to use the Service to transmit spam, facilitate fraud or impersonation, process personal data without a lawful basis, transmit malware, attempt unauthorized access, or violate Meta's Platform Terms.
6. Meta platform compliance
Your use of SocialHook is subject to Meta's Terms of Service, Platform Terms, and WhatsApp Business Policy. You represent and warrant that you will comply with Meta's applicable terms at all times. SocialHook has no control over Meta's decisions regarding your Meta accounts.
7. Data handling and privacy
Our collection and use of personal data is governed by our Privacy Policy and Data Processing Agreement, both incorporated into these Terms by reference. Successfully delivered message content is not retained after delivery. Failed-delivery content is stored for a maximum of 24 hours then deleted.
8. Service availability and SLA
SocialHook targets a monthly uptime of 99.9% for the webhook delivery engine. Scheduled maintenance will be communicated with at least 48 hours' notice via email and our status page.
9. Intellectual property
SocialHook and all associated software, designs, and documentation are owned by Lead Lock Systems LLC. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes. You may not reverse engineer, copy, or create derivative works of the Service.
10. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. SOCIALHOOK DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY PARTICULAR OUTCOME WILL BE ACHIEVED.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOCIALHOOK'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) $100 USD OR (B) THE AMOUNT YOU PAID TO SOCIALHOOK IN THE THREE MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless SocialHook from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your use of the Service in a manner that violates applicable law, or your customers' use of your applications or services built on SocialHook.
13. Suspension and termination
Either party may terminate these Terms at any time. You may cancel your subscription from your dashboard settings. We may suspend or terminate your account immediately for cause (violation of these Terms), or with 30 days' notice without cause (with pro-rata refund).
Upon termination, your right to access the Service ceases. We will delete your account data within 30 days of termination, subject to legal retention obligations.
14. Changes to the service and terms
We may modify these Terms at any time. Material changes will be communicated by email with at least 14 days' notice. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.
15. Governing law and disputes
These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict of law principles. Any dispute shall first be attempted to be resolved through good-faith negotiation. Unresolved disputes shall be submitted to binding arbitration in Maricopa County, Arizona, under the rules of the American Arbitration Association.
16. Miscellaneous
- —Entire agreement — These Terms, the Privacy Policy, and the DPA constitute the entire agreement between you and SocialHook.
- —Severability — If any provision is found unenforceable, the remaining provisions remain in full effect.
- —No waiver — Failure to enforce any provision does not constitute a waiver of that provision.
- —Assignment — You may not assign these Terms without our prior written consent. We may assign in connection with a merger or acquisition.
